The ISB Board is composed of up to 12 Directors who are responsible for the activities of the Company called International School (B) Berhad and in turn responsible for the overall governance of the School through its Principal.

The Company activities are outlined in two key documents - the Memorandum of Association and the Articles of Association.  The former provides the objectives of the Company and the latter covers the procedures by which the Company is operated including sections on its Members, Directors, Conduct of Meetings, Voting and Accounts and Audits.

Some key aspects of this arrangement are:

The Company has a primary objective    "to establish, maintain, operate and conduct, but not for profit, a school for boys and girls ..."

    • Members (follow link for Application process) are usually Parents or Staff who are entitled to be members subject to undertaking a simple Guarantee in the event the School is wound up
    • Directors are elected by the Members at Annual General Meetings.  Directors work on a voluntary basis.
    • Accounts are to be audited and presented to members during the Annual General Meeting

Directors follow a separate Code of Ethics which provides guidance for the way in which they perform their duties.  Directors are not paid for their services.  Most Directors currently come from the parent body, though Directors need not be parents.  Directors are elected at Annual General Meetings by the Company Members present.

The Board operates with subcommittees to provide an avenue for more in-depth analysis.  Subcommittees produce recommendations for Board decision.  Currently the Board operates three such committees:

The Finance Subcommittee

To review and guide the School's financial performance including preparation of Annual Accounts

The Relocation Subcommittee

To make preparations for the relocation of the ISB school facilities to the new site

The Board Advisory Subcommittee

The Board Advisory Committee aims to improve the communications between the Board and the Executive Principal.  By meeting more frequently (approx fortnightly) or whenever an issue may require, it aims to address issues that have a wider impact than internal educational issues.  It provides a sounding Board for the Executive Principal as well as the ability to make minor level Board decisions without the need for the full Board approval.  Brief notes of the meetings are circulated to all Board members and issues arising may be addressed again during full  Board meetings.

School Board Power and Duties

Board meetings are held monthly during term time, usually on the first Tuesday of the month.  There are potentially three parts to Board meetings:


  1. The Open Section where the Primary and Secondary Principals and the School Director present key status and issues facing the school at the current time and near future.
  2. The Confidential Section where apart from the Board, only the School Director and Board Secretary are present.

    Minutes of these two sections are taken and published by the Board Secretary.

  3. A Board-only Section is held periodically when the Board wishes to discuss issues on a Board-only basis.  The School Director and Board Secretary are not present and no formal Minutes are taken.  This allows a free flow of discussion and brain-storming but no formal decisions are taken.  Should decisions be desired, these need to be undertaken by one of the formal Board avenues.

Decisions can be taken in-between meetings, either by calling for a special meeting, or in cases where little discussion is required, or there is a high degree of urgency, the Board can agree to take decisions by gathering consensus via e-mail.

Annual General Meetings (AGMs) are to be held every year within 6 months of the close of the School accounts which means, in practice, before the end of February.

Extraordinary General Meetings

Extraordinary General Meetings are held at the request of Directors or Company Members as provided by the Articles of Association.

Usually information for parents is published by the school management and staff.  However the Board recognises the need for information coming directly to Members and Parents from the Board itself.  The Board has introduced a series of Newsletters and these can be seen via the attached hyperlinks.
